1. Acceptance of Terms

By subscribing to or using NeuoFlow’s services (“Services”), you (“Client,” “you”) agree to these Terms & Conditions. If you do not agree, you may not use our Services.

2. Scope of Services

2.1. NeuoFlow provides AI-powered marketing automation, including but not limited to:

Ad campaign automation on Facebook & Instagram

AI-generated dashboards and insights

Workflow automation (CRM updates, lead capture, notifications)

2.2. We may integrate with third-party platforms (e.g., Facebook, Instagram, CRMs, email providers). We are not responsible for outages, errors, or policy changes from these third-party platforms.

3. Client Responsibilities

3.1. Provide accurate business information, including ad accounts, creative assets, and CRM access.
3.2. Maintain compliance with applicable advertising laws, platform policies, and data protection regulations.
3.3. Ensure all materials (logos, images, copy) do not infringe intellectual property rights of others.

4. Payment Terms

4.1. Fees:

Starter: $800/month

Growth: $1,200/month

Scale: $2,000/month

4.2. Payments are billed monthly in advance via [insert payment method].
4.3. Late payments may result in suspension of Services until the balance is paid.

5. Performance Disclaimer

5.1. AI-driven automation aims to optimize campaigns based on data but results are not guaranteed.
5.2. Advertising performance depends on third-party platforms, market conditions, and client-provided materials.

6. Intellectual Property

6.1. NeuoFlow retains ownership of proprietary technology, workflows, and AI models.
6.2. Clients retain ownership of their business data, creative assets, and customer information.

7. Limitation of Liability

7.1. To the maximum extent permitted by law, NeuoFlow shall not be liable for indirect, incidental, or consequential damages.
7.2. Liability is limited to the total fees paid by the Client in the preceding three (3) months.

8. Term & Termination

8.1. Agreements are month-to-month unless otherwise stated.
8.2. Either party may terminate with 30 days’ written notice.
8.3. NeuoFlow may terminate immediately for breach of these Terms.

9. Governing Law

These Terms are governed by the laws of California, USA. Disputes shall be resolved in San Diego County courts.
